Agreement to terms

These Terms of Service ("Terms") govern your access to and use of the KeySignal platform, including our website, APIs, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

Description of service

KeySignal provides a behavioral tenant screening platform that helps property managers evaluate rental applicants through structured questionnaires and behavioral analysis. The Service generates recommendations to support, but not replace, your leasing decisions.

The Service is intended for use by property management professionals, landlords, and their authorized representatives. You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent.

  • The Fair Housing Act and all applicable federal, state, and local fair housing laws
  • The Fair Credit Reporting Act (FCRA) and applicable state consumer reporting laws
  • All applicable privacy and data protection laws

You must not:

  • Use screening results to discriminate based on any protected characteristic
  • Misrepresent KeySignal recommendations as guarantees or definitive assessments
  • Share applicant data with unauthorized third parties
  • Attempt to reverse-engineer, decompile, or derive the source code of our algorithms
  • Use the Service to harass, stalk, or intimidate any person
  • Interfere with or disrupt the integrity or performance of the Service
  • Use automated means to access the Service except through our provided APIs

Your compliance obligations

As a user of tenant screening tools, you are responsible for ensuring your screening practices comply with all applicable laws. This includes providing proper adverse action notices to applicants when required, obtaining necessary consents before initiating screenings, and applying screening criteria consistently across all applicants. KeySignal provides tools to support compliance but does not guarantee it—compliance is ultimately your responsibility.

Data processing

By using the Service, you authorize KeySignal to process applicant data on your behalf for the purpose of generating screening reports and recommendations. You represent that you have obtained all necessary consents from applicants before submitting their information to the Service. Our handling of personal data is governed by our Privacy Policy.

Intellectual property

The Service, including its algorithms, scoring models, user interface, documentation, and all related intellectual property, is owned by KeySignal. Your use of the Service does not grant you any ownership rights. You retain ownership of the data you submit to the Service.

Service availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may modify, suspend, or discontinue any part of the Service at any time with reasonable notice. Scheduled maintenance will be communicated in advance when possible.

Fees and payment

Pricing for the Service will be established upon general availability. Early access participants may be subject to special pricing terms communicated separately. We reserve the right to modify pricing with 30 days' notice.

Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. KeySignal does not warrant that screening recommendations will be accurate, complete, or predictive of actual tenant behavior. The Service is a decision-support tool and does not replace professional judgment.

Limitation of liability

To the maximum extent permitted by law, KeySignal shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Service. Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify and hold harmless KeySignal and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any applicable law, including fair housing and consumer reporting laws.

Termination

Either party may terminate this agreement at any time. We may suspend or terminate your access immediately if you violate these Terms. Upon termination, your right to use the Service ceases. We will make your data available for export for a reasonable period following termination.

Governing law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.

Changes to these terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and, for active Customers, by email. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
